The problem is noise is often closely related to how much air the fan needs to move for the heatsink. If it's a cheapo fan or if it's just old then you can maybe get something quieter enough to matter.

I already threw that PSU out but the PWR_OK reads like it should be an on/off thing. If you powered up the PSU and that one is reading .95mv that should mean the power supply is telling the mobo that its not working correctly.
