I feel I didnt need an OC version for my Opteron 185, but it will be a great replacement for my 7800GT especially at 1680x1050 at max detail in Oblivion, COH: OF.

Why is it capped at 40 players? 64player maps are already too small. A downgrade from 64 to 40?

Toledo has twice as much L2 Cache than Manchester. Which provides a performance boost.

It should be able to, depending on the FSB of the P4. If it is 533, there might be fewer motherboards you can run it in compared to a P4 with 800Mhz FSB.
P965 and the P975 should be able to run the Prescott.
You have to look at the mobo makers websites to find out which CPU runs on...
