Could be the power supply too. Do you have another you can test with?
And yeah, if memtest freezes that makes it sound like overheating or some other hardware problem, not necessarily memory.
My order of suspicion would be PSU then Mobo then CPU.

Yes, this power supply does not work with this mortherboard, i had exact problem. I switched to OCZ stealthstream and it worked fine. (after 2 weeks of RMAs and crying)
