I don't wanna sound like an a-hole but I think your better off upgrading now, if you wanna overclock it first step is to upgrade the CPU cooler to an aftermarket one to give you headroom for overclocking.

just switch the fans with high static pressure low noise ones, I use Swiftech Helix fans on my radiators and they perform well even at max rpm they are pretty quiet compared to other fans.
does it have any updates for its BIOS as well? ask that guy that uses that board, what revision is his board and what BIOS so that you can replicate his result in terms of making it work.
my 8350 could run 2 virtual system using XP as OS with almost bare minimum RAM, vista requires more RAM around 1gb just to boot I believe if I remember it right, CPU wise its not that hard anything i5 and or FX8core will suffice the RAM is more of an issue on this one.

glad gigabyte's UD series of motherboard got built in Dolby Digital sound, I've used Asrock and Asus boards and they got crappy on board sound, Gigabyte's UD series of boards got great on board sound that's why they are always my first choice on boards right now.
