I don't see what is the problem here. Unreal Engine 4 and Epic Games have had a strong relationship since the beginning.
Nvidia is doing a lot right now to work with devs to get GameWorks to work on Unreal Engine 4. Just check out this thread on the UE4 forums...
Wait I just remembered that Nvidia "free sourced" their CPU PhysX source code back in march. Technically doesn't that mean that AMD is allowed to see what PhysX is doing and help optimize it for their video cards...
Nvidia's GameWorks isn't going to go away you should all just live with the idea that proprietary middleware is here to stay. Just check out this thread over at UnrealEngine

Nvidia's VXGI should be available on UE4 next week so I'm guessing the VXGI stuff will be in UE4. They also hinted at more GameWorks stuff like HairWorks for GDC. Also Some stuff on DX12 and DX11 https://developer.nvidia.com/gdc-2015
The way I see it is that unless there is someone else providing the code besides Nvidia or AMD at a similar or lower cost you will see more of GameWorks or Tressfx like stuff in games. Game Developers are eating up this stuff and asking for more and it seems like this is where the future is...
Are you sure that BL2 and Pre-Sequel runs physX 3. All I hear around the web is that Gearbox is too lazy or refuse to update from PhysX 2.8.6. They even got Nvidia Engineers helping them on BL2.
