I'd say that if you have a first gen and don't have a big need for GPS, I wouldn't bother yet. 3G isn't very good yet and so that doesn't help much yet. Personally, I'm not sure I should have sold my first gen and upgraded because of the increased data plan and lack of included text messages.
One of the best improvements was the normal audio port, we don't need a recessed connection adapter anymore.
This is why I don't feel the need to upgrade (until I walk into an Apple store and see it...I swear Apple pump something into the air to kill all rationality!)
I live in the greater Boston area, so full 3G coverage, and GPS/LBS would be awesome when I'm out with friends or trying to find a new bar/restaurant, however I don't know if its +$7/month+tax good (taking into account my FAN discount on voice only). Everything up here is so expensive anyway, I'd like to keep recurring bills as low as possible...plus I'm 90% going to sign up for MobileMe after my free trial if they can get the push parts working properly, so thats another $100/year.
If you use text messages, factor that in as well.
As for MobileMe, I'm personally going to avoid it... the push feature is nice, but is it that much better than just having your phone check every half hour automatically?
Basically, I see MobileMe as a $7-8/month expense, and I hate recurring payments as well.
