Other than the DX11 factor, would it be worth the upgrade? It's my occasional gaming rig and noise is not a factor as I use headphones. Also, would my current processor be a bottle neck?

Agreed on both points. But to drive it home, I'd have to say don't bother. While in theory it's about 70% faster (assuming 4870x2=5870 and 5970=1.7x5870), it won't work in your system. My quad is a bottleneck for my Crossfired HD5850s. Your e8400 just won't do in modern games. OTOH, if you're going to upgrade your C2D soon, then a cheap 5970 is a good investment.
