More updates:
I reformated an old HD, fresh install win98se. With only this 64M RAM, ran RAM test several times, no problem at all. So I thought maybe my new HD just crashed at wrong time. So I put my new HD (w/ dead 98 and good 2000) back, put all my old RAM (PC100 128 + PC100 64) back, left the new RAM there, then went to bed.
This morning, my PC won't even boot to win2000.
