Athlon 1400 reboots at shutdown

Hi, my problem is this: whenever I shutdown my computer through windows ME, it just reboots. Windows ME shuts down and the system just starts up again. I click "Start" => "Shutdown" => "Shutdown", and everything seems fine, but the next thing I know, there's my video card bios on my screen and I'm starting up again. Even if I hold down the Power button on my case for more than 4 seconds, the computer shuts off, but when I let go of the power button, it starts up again.
My system is perfectly stable when I'm in Windows, I don't experiance any lockups or "BSOD's". My only prob is shutting down. I have to use the switch on the back on my power supply to turn off my computer. When I do that, the next time I start up again, my computer goes into the BIOS and tells me it's loaded the safe config cuz it didn't shutdown properly.

I'm not overclocking my computer. Here's my specs:

AMD Athlon CPU 1400MHz
Thermaltake SK6 heatsink and 5000 rpm fan. I have the fan connected to the power supply with a 3 pin to molex converter.

256 MEG PC 2100 DDR DIMM
Asus A7M266 Motherboard BIOS 1004a
Herculese GeForce 3
SoundBlaster Live
Creative Modem Blaster V.90 PCI DI5655
3Com NIC 3C905B
Adaptek 2930 SCSI card
IBM DTLA 307045 45 Gig HDD
Quantum 13.6 gig Hdd in a removable tray
Plextor 12/10/32S SCSI CD Burner
Plextor 40Max SCSI CD ROM
Aopen 12X DVD ROM
Standard floppy disk drive
2 80 mm exhaust fans
1 80mm intake fan
Enermax Power Supply Unit 350 watt

I don't think this is a software issue. Like I said, Windows runs just fine, no stabiliity issues at all.
Any help would be apperciated.

well, i had exactly same problem three weeks ago
later on, my power supply burned ....
now I'm usnig a new power supply, and the problem is gone ........

i'm not really sure about this, but do you have those little cables coming from the front of your case on the power and reset buttons lined up right on the motherboard?

That was one of the first things I checked. All my connections are correct.

Beining to think it is psu related. Gotta double check the specs on my Enermax.
Seems like the important rating is the 5v + 3.3V spec. When I bought it I figgured 350 Watts
would be enough for anything. But that was when I was running a P3 700.

I've really got a lot of stuff in my tower. Don't wanna just run out and buy a 450 watt PSU
without doing my homework this time.

those wires can go eirther way......doesent matter...........is there a downloadable fix for this problem on mircosoft website??? i think so........take a look

I think you're thinking of the dreded Win98 shutdown bug, where your system would hang at shutdown.
My system doesn't do that. It does shutdown. The prob here is that it immediatly reboots.

i knew it was some thing like that.........sorry....good luck fixing your problem..........but im sure i've heard of this problem before....maybe i'll think of it later

I had a similar problem after flashing to the newest Bios on my IWill KK266. The power would keep cycling until I held the power button in for 4 or 5 sec. I flashed to the next oldest Bios and that solved the problem.

Run msconfig and disable "fast shutdown" in the advanced options section.

That, or check to make sure your WOL or WOR settings are turned off in BIOS.  Also check to make sure that nothing is sharing an IRQ with your ACPI controller.
