I agree with this as well..
For the amount of money you are looking to spend, you aren't really going to be upgrading, and you won't be able to use your DDR2 so you'll need new ram as well. What exactly is it that makes you think you need an upgrade?

There aren't any respectable OCing mobos for AMD X2 for 40-60 bucks that I know of.
Take the CPU back to Fry's (hopefully you didn't crack open the box yet) and wait till next year for the AMD socket AM2 platform. Then you can reuse your DDR2 RAM. Right now you're just wasting your money.
