Burnt out CPU?

I built a computer about a year ago and I just replaced the power supply due to the fan in the PS not spinning anymore. I thought that that would fix my problem of the computer not booting at all, but it didn't. Here are the specs:

Amd 2400+ mobile 45W overclocked to about 2.4ghz,
NF7-s rev 2 MB
Some sort of very large copper heatsink with 3 heatpipes (can't remember the brand name)
Some sort of tornado fan (which spins way too fast I think and makes an absurd amount of noise).
Thermaltake 430 watt PS.

So the problem is that it will not boot at all. All the fans and lights come on inside the case, but nothing shows up on the monitor (I have checked the monitor, it's fine).

Just wondering if my CPU is burned out before I go and buy another one. Thanks for your help in advance.

You may want to try Clearing the cmos, and leaving the battery out while doing that for 5 minutes or so, before you do anything radical.

OK, just tried clearing the CMOS and there was no change when I re-booted it. I have it so that nothing is hooked up to the MB except the video card right now so I could make sure that it wasn't another component that was causing the problem. Any other suggestions or diagnosees would be welcomed - thanks

Nothing but the video card?? Do you still have the ram and cpu/heatsink&fan installed?? Have you tried with the bare minumums? CPU/heatsink fan, 1 stick of memory, video card, or is that what you just did? Have you tried taking out the video card to see if you get a beep? If nothing, take out the memory as well and see if it beeps. If not, that pretty much narrows it down to the cpu or the motherboard. Also a good idea to re-seat everything including the CPU, a cpu thats not perfectly seated can cause the exact problem you are having.
