Depends. Your 256MB DIMMs are most likely single-sided, whereas this DIMM is double-sided. So it depends on the chipset/memory-controller and your mobo's layout whether or not it will work. If you posted more specifics then perhaps someone could take a stab at it, or you could purchase one and see if it works. AFAIK, CompUSA has dropped the restocking fee, at least for the holiday season.
For example, I have an MSI KT4V-L board, with three DIMMs slots and a KT400 chipset. I've heard of people having instability problems with filling all of the slots. I have all three slots filled, but all with single-sided PC2700 256MB DIMMs. Something like this would bump me from 768MB to 1GB, which would be nice, but I can't really say without trying it whether or not it would work. Theoretically, it should, but I worry about the memory bus loading being an issue with this particular board, given others' difficulties. It would still be worth if I sold my existing three DIMMs to a friend, and dropped in two 512MB double-sided DIMMs instead.
