Pro is slightly clocked higher

The Pro is better than regular, and higher 2D resolutions are available with the second card. It is also OEM, so there are no manuals and/or software when you get the card. The first one does not say retail or OEM so it is difficult to compare. You can download the manuals and drivers from ATI's website, and if you don't care about any games that might be packaged with a retail drive, then you might consider the Pro because it would feature slightly improved performance. If they are both OEM, then the software, manual and drivers are no longer a consideration.

The Pro is AGP 4x, the other is 2x.......Greg
