I was leaning towards the AsRock/E4300 option with 1 or 2 gig memory update for around $200-$250. BUT, based on my digging here, I think I need to upgrade the video card as well since the Spiderman3 box says Radeon x1300 or Geforce7300 GT minimum. Any suggestions to keep the cost down ($300 max, but lower would be better) on this one? Time to rebuild from scratch?

Just get the E4400 and set the board's FSB to 266. Overclocking, overshlocking, there's no reason to get the E6400 when you could run the E4400 at 8x266.
You could even do that with an E4300. I'd take and E4300 over a used E6400 anyday, especially on a dual-vsta.
