Need help! System unstable

I've been having an annoying problem since I got my new computer running...
It's extremely unstable...
It doesnt seem to be because of heat because everything is running very cool...
MB at 36C and CPU at 43C. Ok, here's the problem:

When I play CS my game either:
Locks up and keeps repeating the sound heard in the last .5 seconds or:
controls stop responding but game is still active and Video is being displayed. After about 5 seconds the game completely freezez and a buzzing sound gets emitted in my speakers.

Other games seem to freeze in different ways.
Diablo2 locks completely
Quake3 locks completely

Please help me, these are my system specs:

Tbird 1GHz
128megs PC133 Generic (gonna buy 256CL2 soon)
Asus v7100 32 meg
Asus A7V-E
Generic 10/100 Ethernet adaptor
SBlive! Value
Maxtor 20 Gig 7200RPM
LG 52X CDrom
Deer 300W power supply.

Is you CPU overclocked?
Did you tweak your BIOS settings?
Is your BIOS up to date?
Which OS are you using?
Is your VIA 4-in-1 driver up to date?
Are you using Nvidia Detonator driver 10.xx or higher?
Is your SBLive sharing an IRQ with another device?
Have you tried replacing your SBLive with another card?
Have you tried replacing your RAM?
Have you tried replacing your power supply?

Nothing is overclocked
I underclocked my RAM
Using Win2k
Using Detonators 12.41
Via 4.31
using latest Bios
I tried my Bios in both Optimal and normal settings... same thing
