Need some advice on upgrading

My 3 year old rig:

A64 3000 s754
9800pro (dieing, can't even run WoW well)
1 gig of Corsair 3200 ram
Tagan 480 (this thing makes noises, or maybe its my motherboard making the noises, but I'm thinking both need to go)
Lian Li PC60 (this is about 5 years old, I think it's falling apart and probably had airflow problems leading to the death of my Geforce3, and now 9800p)

Thinking about this:

What do you guys think? I don't know if I want to overclock, seeing as how even the parts that I don't overclock go bad (9800 pro). I just need something that can run WoW, it's gotta be able to multitask since alt-tabbing is a real pita, and need to be able to run upcoming games like Hellgate at good playable settings. I'm on a bit of a budget, maybe around $750. Thx

Looks good! the RAM might be a little overkill for your needs, here's some 667 that should handle OCing that 4300 http://www.newegg.com/Product/Product.asp?item=N82E16820134046
Not sure about timings and what not but it's worth a look, might help ya save some cash for a x1950xt, or get the GA 965P-DS3 MB for 1333 FSB support for future upgrades and better OC.

Indeed, go for a $199 X1950XT 256MB over the 7900GS, or if your budget won't stretch quite that far, get the X1950 Pro.

The 7900GS is a great overclocker, but the X1950Pro is a faster card at stock speeds, so I second Roguestar's recommendations.

I am sure you have heard this more than a few times, but if you can wait till the end of the month price cuts are coming, as well as the C2D E4400 which from what I've heard will be a better purchase over the E4300. Also you can go for a smaller PSU, unless you have plans to SLi or get a better card in the future or run alot of peripherals.

I'm in a similar boat with a 2800 s754, 6600gt agp and this is what I went with mostly based on price

AMD AM2 3600X2
Gigabyte Nforce4 AM2 SLI board
1gb 667 G Skill (will add another gb next paycheck)
EVGA 7900GS

I prefer nvidia and since I want to have the option to go SLI later I went with the 7900gs over a 19xx
