Need some help with cooling

My computer is on about 18 hours a day and I noticed the other day, programs slow to load and mouse movement jerky. Ran wintune and noticed the cpu scores were low. Shut it down for awhile and reran test and everything was back to normal. Since the cpu (K6-2 450) was getting old (2 years), I decided to to pop in a 550 for now. System ran good for about 45 minutes then started getting bsod's, errors etc. Reloaded the system monitor and found the temp about 147F. Took the cpu back to the shop and they cooked it for awhile, outside a case, and it ran stable 115F for about an hour. I also took the m/b to them and had it checked, voltages etc, found no problems. I've installed a case fan, changed power supply's and the temp would still climb to about 138F with the cover on. Thought maybe the voodoo3 card was loading it down, so swapped it out with my old viper v330. That helped some, but it still climbs to about 135F. I've had the case fan blowing in and out and in seems to be the best. If I leave the cover off, the temp will stay around 122. Any ideas? Sorry for the long question, but my 30 minute job is turning into a 3 day affair.
System: win98se, DFI K6BV3+, cdrom, cdrw, floppy, samsung hdd, sound card, 3com network card, usr winmodem.
Forgot to mention, I had the global win fan/heatsink to start with. I've tried 2 other coolermaster fans from the store I purchased the cpu from.

I assume that's the CPU temperature you are reporting to us? Is it being reported by a sensor in the middle of the CPU socket? Can you tell which model of GlobalWin heatsink/fan unit you have? Some are not as powerful as others. Also, have you removed the thermal pad completely (if there was one) and put a very thin coat of thermal compound on the CPU and heatsink? If not, that will help a lot...

I was using the Globalwin vfp32 with thermal paste. I'm really not sure where the temp is reported from. I'm using the GLsysmon program that came with the m/b. Right now, its reporting:
cpu temp: 127F
cpu hysterisis temp: 104F
Right now I'm currently using a coolermaster fan/heatsink assembly that runs at a higher rpm. A few minutes ago the temp was 136F, shut it down and put thermal paste on it. The shop didn't put any so I figured I'd see if that helps.
