Wrong forum, you should ask under CPUs and overclocking.

Anyway, seems that both CPUs use same socket, Socket P,and have same FSB of 800MHz, so only reason why it wouldn't work is that BIOS on laptop is not supporting it.

It may not work, but I can't tell for sure. They have different cores and process size so those are red flags for me.
I would google the Dell laptop model part number with the words cpu upgrade.
Somebody else must have tried to upgrade so there should be some hits.

Yeah what kind of laptop? I've already upgraded my Vostro 1500 CPU, and could describe the experience in detail (easy and fun).

Ebay is your friend, you could spend maybe as low as $10 for a T8100 if your laptop supports it. I'm currently replacing my T8100 that I previously upgraded to a few years ago, by again upgrading to a $30 T9300.

Start tracing the crashes to specific events, or as a worst-case scenario, try running some stress tests like Prime95, linpack, memtest86+ etc. to hunt down the problem.

Some people like the old stuff because it works well enough for them. I recently upgraded a customer's Vostro 1400 (T5270 C2D) at his request because it's in cherry condition and he really likes it. I dropped in a C2D T9300, an Intel SSD and upgraded his RAM to 4 GB. It rips along nicely and he's good to go for a few more years. He's an old guy who hates change.

This allows him to keep the laptop he is familiar with and improve the performance.

It would be a lot easier to help you, if you could explain yourself clearly, and in sentences and paragraphs.

You've got a laptop. You're getting blue-screens, and reboots?

Did these happen:
1) Immediately after swapping CPUs?
or
2) Immediately after installing Win10 preview?
or
3) Have been happening off and on for a while, before those two events?

Edit: "No BootMgr" sounds like your HDD is failing. That could also cause BSODs and reboots.

Honestly, buying a new laptop, is the best solution. But if you can't afford that, then that solution is out. I'll help the best that I can, but laptops can be more finicky than desktops, and afford less ability to swap parts.

Edit: Do you have another (working) PC somewhere, that you could use for testing? Does this laptop have a CD or DVD drive? (Hopefully DVD.)

If you have the ability, get a hold of a Linux LiveCD/DVD, and boot that using the DVD drive in the laptop, and trying running SMART self-tests, both SHORT and LONG on the internal HDD.

Edit: I don't understand why you would need to mod the BIOS chip to flash it. Is there an updated flash BIOS version available for your laptop, or not? And why didn't you flash it with the old CPU in? It may be required for stability with the new CPU. That may be your whole problem.
