Consumer Eligibility: The MSN Holiday Reward ("Promotion") is solely available to consumers 18 years of age and older that:
a. Transfer to a participating MSN eShop Merchant (a "Participating Merchant") directly from MSN.com or any web site owned, operated or controlled by Microsoft Corporation ("Microsoft") to make a purchase
b. Consummate a purchase using his/her Passport Wallet upon checkout at such Participating Merchant's site (a "Qualifying Transaction"). List of all Participating Merchants available here.
MSN reward checks: Consumers that comply with the eligibility requirements above will be provided with a check for a specific amount in accordance with the chart below. The amount of the reward check is based on the total amount spent on Qualifying Transactions during Promotion at all participating merchants, according to the following guidelines
1. Make $100 - $199 total Qualifying Transactions, receive $20 check
2. Make $200 to $299 total Qualifying Transactions, receive $40 check
3. Make $300 to $399 total Qualifying Transactions, receive $60 check
4. Make $400 to $499 total Qualifying Transactions, receive $80 check
5. Make $500 or more total Qualifying Transactions, receive $100 check
Qualifying Transactions may be made at participating merchants
Validation of eligibility for Promotion Benefits: Participating Merchants will transmit consumer's transaction data to Microsoft to confirm that such transactions were Qualifying Transactions under the Promotion Terms and Conditions. Such transmission and the subsequent validation may, in some cases, take a few days for processing, and the consumer will be notified via e-mail when a Qualifying Transaction is confirmed. In order to receive the reward check, a consumer must provide a valid mailing address to Microsoft upon completion of the Promotion within forty-five (45) days of notification of their Qualifying Transaction total.
Restrictions on Promotion Benefits: In addition to the eligibility requirements stated in paragraph 1 above, the following restrictions shall apply:
a. Promotion Benefits: (i) are not transferable and (ii) cannot be combined or accrued and (iii) have no cash or refund value except when redeemed in accordance with all terms and conditions of this offer.
b. Any merchandise returned for a refund shall not count towards reward total.
c. The total reward check value per consumer shall not exceed One Hundred Dollars ($100) during the Promotion Period.
d. Qualifying Transactions may solely be made at Participating Merchants.
e. This Promotion is limited to purchases and deliveries in the United States.
Consumer Subject to Terms of Use at Merchant Site: In addition to the requirements described in the MSN Terms of Use located at
http://www.msn.com/help/legal/terms.htm, consumers must also comply with the stated Terms of Use described at each respective Merchant site. Merchant Terms of Use can be reviewed at each respective Merchant site and such terms are between consumer and such Merchant.
Promotion Period: The Promotion will begin at 12:01 am PST on November 20, 2001 and will end at 11:59 pm PST on December 20, 2001 (end date subject to change by MSN). Users will be notified of reward amounts on or before January 25, 2001 and must claim their rewards by submitting a valid mailing address to Microsoft within forty-five (45) days of initial email notification or the consumer?s reward eligibility will expire. Microsoft reserves the right to terminate the Promotion and/or alter the participating merchants at any time during the Promotion period.

Any dealing with third parties included within the Microsoft sites/services or participation in promotions, including the delivery of and the payment for goods and services, and any other terms, conditions, warranties or representations associated with such dealings or promotions, are solely between consumer and the advertiser or other third party.
