Please don't lock this, a lot of people have rebates coming from this company. I just wanted to warn anyone from buying anymore Cendyne products.

Ruling forces CenDyne to shut offices
Judge orders computer DVD drive maker to pay creditor Test Rite, which took over operations, $20 million.

SANTA ANA ? CenDyne Inc. was forced to shut down Monday after a state judge ruled that it had to repay a Taiwanese creditor more than $20 million.

CenDyne, one of the biggest brands in computer DVD drives, already was reeling from mounting losses and top-level resignations.

For the first six months this year, CenDyne lost $17.5 million, which spurred the lawsuit from Test Rite International, the Taiwanese investor that provided CenDyne with inventory and services. Test Rite seized control of the company two weeks ago.

On Thursday, California Superior Court Judge Robert H. Gallivan ordered CenDyne to pay its creditors and appointed Robb Evans & Associates as receiver.

"We're trying to liquidate the assets of the company for the benefit of the creditors," said Brick Kane, chief operating officer at Robb Evans.

CenDyne's Susan Street offices were somber Monday as employees learned the news. A security guard sat outside to inform those who had not heard. CenDyne employed 72 people.

Gavin McCalla, CenDyne's chief executive officer, and Bob Miles, CenDyne's chief financial officer, did not return calls seeking comment Monday.

McCalla and Miles are also CEO and CFO at the U.S. division of Test Rite. Test Rite, which provides packaging, design and logistics to retailers, invested $4.5 million in CenDyne last summer, gaining 42 percent of the company, said Test Rite.

Test Rite, based locally in Ontario, took control of the privately held CenDyne after founders Ed Meadows, Mo Vahdati and Dean Vahdati, abruptly resigned.

Test Rite's lawsuit alleged that the trio made false statements "with the intent to defraud and deceive" Test Rite in order to attract investment.

Test Rite said it had discovered in November that CenDyne had doled out $2.4 million in "secret" consumer rebates and price guarantees to retailers, which caused CenDyne to restate its financial reports.

Another $2.8 million in rebates was discovered in July, the lawsuit says.

The lawsuit alleged that CenDyne owed Test Rite $22.7 million for the purchase of goods, rebate liabilities and short-term liabilities.

Test Rite's lawyers did not return calls.

Meadows, CenDyne's former president, and Mo Vahdati, former chief executive, did not return calls. Dean Vahdati could not be reached for comment.

Test Rite says it has suffered from its investment in CenDyne.

On July 29, JP Morgan downgraded Test Rite's stock to "underweight" from "overweight" and lowered its earnings estimate by 29 percent because of "significantly worse results at CenDyne versus our original forecast." CenDyne's losses had hit $17.5 million for the first half of the year, and more losses were revealed to Test Rite in July, the lawsuit said.

Last year, CenDyne was the leading brand in computer DVD drives sold at retail, according to The NPD Group.

It captured 17.7 percent of the market, significantly ahead of second-place I/OMagic Corp., at 10 percent, and Sony Corp., at 7.8 percent.

In the first six months of this year, CenDyne dropped to second place, at 13.7 percent, while Sony moved to the lead with 20.5 percent.

"It's a healthy industry, but the industry is competitive," said Tom Edwards, senior industry analyst for NPD.

"It's an industry that, as I've said for 25 years, it eats its young. If CenDyne leaves, somebody else will step in."

I must be pretty lucky, I have personally received over $730 in rebates since the first of this year. The only one who I got stiffed on was a $30 Storix USB keychain drive rebate, mailed last April.

To be fair, though ... $50 of the total sum for this year came from Cendyne for a (Pioneer) 4X DVD-R drive purchased back in January, mailed extremely late. I actually had to call them and complain in order to get my rebate ... otherwise, it might never have arrived. I just wish Storix had a complaint line...

nope ...have no Cendyne rebates outstanding ..but I know of one customer of mine who does..but its thru Staples

This sucks. My Verbatim CD-RW is a Cendyne and I started the RMA process last week...haven't heard back from them yet :frown:

This will probably cause prices to rise momentarily until someone replaces Cendyne in the market.

Well, since Cendyne doesn't even make their own drives.... wouldn't take much to replace them.

You bought that from Outpost.com right (if I remember correctly)? I took advantage of that deal too. Got a 64mb Storix USB keychain for $30, sent in the $30 and I don't think I've received it yet. =/

I also have a rebate sitting in limbo. Can folks comment as to which stores help customers in such situations, and which leave you high and dry? (I expect most in the latter, but there's probably a few who take care of customers)

Well, I've received a total of $290 in cendyne rebate alone. Glad I don't have any outstanding atm tho Good luck to those that do.

It's gonna be sad seeing them go. They offered so many great deals on cd and dvd writers.

I still have the $30 storix rebate on my computer. Just read through it and it doesn't mention phone numbers or a place to contact. =(

Gee.... ya think!?

Maybe if they were not GIVING their stuff away (close to free after rebates all the time), they would still be able to stay in business.

On the other hand... I don't think they ever meant to stay in business. Just keep a handful of guys rich, until they run offshore to formulate another company. Cendyne won't be back.. but the top dogs running the place will be. Just under a different name.

You know, PC peripheral rebadging is simply a bad business. Has been for years. This isn't the first time one of these guys has gone down the drain. Margins are too small to make much money, and because you're not building brand loyalty (you're just trying to undercut), you can't ever take the prices up. Sony can charge more than their stuff is worth and get it because of brand loyalty. Sony stands for something to certain people. Cendyne stands for...I dunno, rebates and rebadges I guess.

Someone will probably buy out the Cendyne name, just as someone bought Hi-Val and someone will probably eventually get to buy Buslink and KHypermedia and all those other meaningless rebranders, to get some shelf space. But it's a bad business and only a fool would invest in it.

I'm glad I learned my lesson last year with Cendyne rebates.

It took about 4 months to get my rebates after many calls and the rumor was they were going out of business at the end of last year. After that I won't consider Cendyne products.

I guess I got lucky!


BTW, We need rebate reform; the rebate money should be escrowed. The government needs to step in and regulate this. There are too many companies using rebates as a bait and switch. :|
