Problems upgrading to XP Pro

New poster here, I've been searching around for help with my problem but to no avail. Basically, I just put together a new system, installed Windows ME, and would like to upgrade to Windows XP Pro. I have a legit upgrade CD, popped it in and tried to install from within ME. Setup pops up, I click on Install Windows, and it hangs. Ctrl-Alt-Del and close it from Task Manager, pop the CD out, put it back in, now it doesn't read. So, I tried to run setup from the CD, with the CD-ROM booting first. Everything went alright, F6 to install the SATA driver, everything's loading, and then it got to the final screen where it said it would start up Windows, and I got a blue screen with stop message, something like Session 3 Initialization Error, stop code was 0x0000006F. I went to Windows Support, of course their solution applies to NT and 2000, not ME, but I tried copying the win.ini file from ME into C:\Windows\System32\ like it says. That still didn't help, I keep getting the same error message. I've read on some forums that this could be a hardware problem, but I'm thinking not, because ME has been running just fine (more or less, it is ME after all) since Wednesday, when I put the system together. System details are:

Athlon 64 3000
MSI K8N Neo Platinum
2 x 256MB Corsair 3200XL Low Latency Twinpak, running at 2-2-2-10 in slots 1 and 3
120GB Seagate Barracuda SATA HD, connected to SATA1
Gigabyte Radeon 9600XT 128MB video card (installed factory drivers from CD)
Nu-Tech DDW-082 DVD+/-R/RW (have not updated firmware)
Antec Sonata case w/ True Power 380S power supply

I've been trying like crazy to find out how to fix this, maybe the CD is bad and I need another one? Any help would be greatly appreciated.

Oh, the XP Pro is Version 2002, if that helps at all.

Why don't you do a clean install of Windows XP and take the ME off. The upgrade disk will do this, it will just ask for the ME disk during setup to verify that you own a copy of ME.

Yep ,Sometimes you get all kinds of weird blue screens. Try a clean install as suggested.
