Name the company "The Ultimate Software Group"; people will look it up and think you are a mid-cap stock with little debt. Little will they know you are a startup with absolutely no real business.

Offer a slightly-better-than-'good' price, in stock, to buy a real company or, if they want to hold on threaten and then, insist that they invest in YOU to the tune of a million or so in stock.
