Suggest between E4300 & MSI 946GZ or 4200+ & ASUS board

I am building a new system for programming and coding purpose. will be running VS. NET 2005 or NETBEANS
so rest of the component will be
1GB RAM
160GB HDD
and networking card.

The only games which might be running this machine which will run on the built-in graphic core.

So wot processor motherboard combination you will recommend.
E4300 with Intel chipset 946GZ chipset
or
X4200+ with ASUS board and Nvidia chipset (i think 430i chipset).. not sure about the board model number.

Those two processors are pretty much dead even in performance. Well, unless you plan on overclocking, then the E4300 wins hands down, on just about any motherboard.

But i think the 946GZ chipset have 800Mhz FSB and i m not expecting much overclocking from it... i tried to look for the review of the chipset but haven't found one yet with core 2 duo. this is the reason the AMD platform look a little better.. but i m leaning towards buying Intel. i would have love to squeeze E6300 in the budget but the cheap 965 board is not available in local market.
