which should i get?

i dont really know which one to get the 940 has a high clock buy lower fsb while the e6600 is the other way around. Like my name says ocing is not an option so which one is faster? does fsb mean more to performance then clock speed?

940 - 3.2ghz 800fsb
e6600 - 2.4 ghz 1066fsb

Both are included in this comparison, but the Cliff's Notes version is that in pretty much anything, the E6600 outperforms every Pentium 4, Pentium D, Pentium Extreme Edition, etc., ever made. By a lot.

Neither. The FSB difference does help a little but basically the E6600 performs better than the 940 because the (work done in one clock cycle) * (clock speed) for the E6600 is much greater (based on benchmarks) than the Pentium D 940.

Not to mention the E6600 runs cooler and use less power.

The core 2 chips are much more efficent than the Pent. D's and are able to perform more instructions per clock cycle (aka IPC) therefore even though they have lower clock speeds perform much better than the Pentium D's.

As in way, way faster than a 955EE. You just still haven't recovered from 10 years of Intel commercials saying "processor speed is all that matters, no matter how little work gets done by your cpu, in that amount of time". For instance, you would rather have a 2 Ghz C2D, than a 10 Ghz 486, I promise you.

If you plan on overclocking. If not, the extra speed is worth the extra money, assuming you've got the extra money.
